Minimums and Pricing

Our prices are subject to change without notice. We may have to increase our prices from time to time and it is your responsibility when placing your orders to confirm the current price of each product or the cost per hour for our consulting services at the time of each purchase. There is a first order minimum amount and there is a minimum re-order amount that must be purchased each time and that information can be found on our order form. For orders of less than our minimum you may be subject to a special handling fee. Please see our order form for details.

Order Fulfillment

We reserve the right to cancel your order prior to shipment for any reason whatsoever including, but not limited to 1) lack of payment, 2) out of stock, 3) change in price or minimum order requirement, or 4) incomplete or false information provided during registration.

Government Regulations

Your business must comply with all licensing, federal, state, provincial, local income, sales, and other tax regulations or any other filings or business expenses. Bon Santē Corporation has no responsibility to inform you of these regulations.

Customer Feedback and Testimonials

Any feedback, testimonials or photos you may send to Bon Santē Corporation via email or otherwise may be treated as non-confidential and if used by Bon Santē Corporation you will not be compensated. Please understand that Bon Santē Corporation needs to have full rights to use your feedback and suggestions without any encumbrances. You understand and agree that by submitting any feedback, testimonials or photos that you own or otherwise control the rights necessary to do so and you are granting Bon Santē Corporation permission to use modify, copy, distribute, transmit, publicly display or publish. These grants further include the right to place advertisements on or in connection with your materials. We may at our sole discretion choose not to post any of your comments, photos, or respond to your requests.

Trademarks Owned by Others

You are responsible for determining whether or not you are infringing on any patents, trademarks, or copyrights held by us and others.

Our Business Relationship

Any type of business relationship between Bon Santē Corporation and the client (our customer) shall not be deemed to create any form of a joint venture.

The relationship between Bon Santē Corporation and each client or potential client is "at will". That is, Bon Santē Corporation is free at any time to choose with whom we wish to manufacture for and our current clients or any potential clients are free at any time to choose with whom they wish to purchase products from. Moreover, both the client and Bon Santē Corporation have the unilateral right at any time to terminate the relationship for any reason whatsoever. This policy does not apply to any contracts that state otherwise, which both parties have agreed to in writing.

Our formulas

As a wholesale or private label customer you acknowledge that all skin care and makeup formulas are owned by Bon Santē Corporation and that they are proprietary to our company and contribute greatly to the success of our current clientele. As a buyer of Bon Santē Corporation products you are not allowed to ask other manufacturers to produce, copy, or reverse engineer our products to achieve products similar to ours, unless you have our written authorization.

If we manufacture custom formulas for a client we own all rights to those formulas unless specified in writing and signed by the officers of Bon Santē Corporation. This written specification will clearly and specifically outline under what conditions the formulations may become the property of the client.

Claims

For private label orders you are solely responsible for any and all claims you make about your products and their use.

Distribution Log/Record of Sales

We maintain distribution records and we strongly recommend that you keep a distribution log for all of your sales. For private label orders if you need lot numbers to appear on your packaged products you will need to notify us (in writing) at the time of your order. Depending on the size of your order some restrictions may apply.

Web Site and Written Material Errors

Bon Santē Corporation is not responsible and accepts no liability for omissions, errors or typos contained in its web site, written instructions or materials, product directories, or brochures. We can only apologize for any inconvenience.

Limitation of Warranty and Liability

Bon Santē Corporation makes no warranty for its products or services expressed or implied, including any implied warranty of merchantability or warranty of fitness for any purpose (other than originally intended). As our customer or private label client you are not relying on any verbal promises or statements made by Bon Santē Corporation, its related companies or divisions, employees, shareholders, representatives, or affiliates. No liability directly, indirectly, incidental, punitive, special or consequential is taken by Bon Santē Corporation, its related companies or divisions, its employees, shareholders, representatives, or affiliates for any claims or damages including, but not limited to loss of profits arising out of or in connection with the use, performance, storage or handling of products, whether based in tort, contract, negligence, misrepresentation or any other legal theory and whether in accordance with suggested directions or not.

Dispute Resolution by Arbitration

In the unlikely event that a legal controversy or dispute between you (the client) and Bon Santē Corporation arises and we are unable to come to a resolution both parties agree to resolve those controversies or disputes through binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Arbitration is more informal than a lawsuit in court and any arbitration during our relationship or after it has ended will take place on an individual basis; class arbitrations and class actions are not permitted. You agree that by entering into a business relationship with Bon Santē Corporation that both you and Bon Santē Corporation are each waiving the right to a trial by jury or to participate in any class action proceedings. A party who intends to seek arbitration must first send to the other, by certified mail, a written notice of dispute ("Notice"). The Notice to Bon Santē Corporation should be sent to Bon Santē Corporation, PO Box 40906, Eugene, Oregon 97404. The Notice must fully describe the nature and basis of the dispute or claim. Please allow 45 days for Bon Santē Corporation to respond to your Notice. Any arbitration proceedings shall be conducted in Eugene, Oregon, USA or at a location closest to Eugene, Oregon, USA. with a single arbitrator. Each party shall be responsible for paying one half of the arbitrator's fees. Each party shall be responsible for their own legal fees and other associated costs. ANY LEGAL ACTION against Bon Santē Corporation in connection with products or services, under any theory, must be commenced within one (1) year of the date of invoice. Thereafter all legal actions are barred, regardless of the existence of statutes of limitation providing longer periods.

Jurisdiction

You understand and agree that these terms shall be governed by and interpreted in accordance with the laws of the State of Oregon, USA, and the parties hereby submit to the prevailing jurisdiction to be the County of Lane for any matter arising under these terms.

Any provision of these terms that is unenforceable in the State of Oregon shall be ineffective to the extent of such unenforceability (but shall be enforced to the maximum allowed by law) without invalidating the remaining terms.

Changes to Terms or Our Web Site

We reserve the right at our sole discretion, to modify, alter, or otherwise change these terms or our web site without notice. Such modifications will become effective upon posting by us to this web site. If at any time you do not accept these changes, you must discontinue use of this web site and discontinue purchases.
